Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Reconnect, operated by Reconnect, Inc. (“Reconnect,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

Reconnect lets you create private, AI-powered voice personas of people you know - preserving a loved one's presence, or connecting with living family and friends - which you can converse with by phone or on our website. The Service relies on third-party providers for authentication, hosting, voice cloning, language modeling, and voice calling.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly of any unauthorized use. You may sign in using a third-party provider such as Google, Facebook, or Apple, subject to their terms.

This section is important. By uploading audio or creating a persona, you represent and warrant that:

• You own or have all rights, permissions, and consents necessary to upload the recordings and to use the voice and likeness of the person they capture.
• For a living person, you have obtained that person's informed consent, including any consent required for the creation and use of a biometric voiceprint.
• For a person who has passed, you hold the appropriate authority or rights to create and use the persona.
• Your use of the persona does not and will not violate any law or the rights of any person.

You retain ownership of the content you upload. You grant Reconnect a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and create voiceprints and personas from that content solely to provide the Service to you. This license ends when you delete the content or your account, except for copies retained as described in our Privacy Policy.

You agree not to use the Service to:

• Upload the voice of any person without the rights and consents described in Section 5.
• Create a persona of a public figure or any individual without a lawful basis.
• Impersonate any person or entity to deceive, defraud, or mislead others.
• Harass, threaten, defame, or harm any person, or exploit the likeness of a deceased person in a harmful or disrespectful way.
• Generate content that is unlawful, fraudulent, hateful, sexually exploitative, or otherwise objectionable.
• Use the Service for scams, social-engineering, or to bypass identity verification of any third party.
• Reverse engineer, scrape, resell, or misuse the Service, its outputs, or its underlying providers.
• Attempt to gain unauthorized access to the Service or interfere with its operation or security.

We may remove content and suspend or terminate accounts that violate these rules.

Personas produce AI-generated voice and responses. They are simulations, not the actual person, and may be inaccurate, incomplete, or unexpected. They are provided for personal and remembrance purposes only and must not be relied upon for professional, medical, legal, financial, or other important decisions, or treated as a statement of fact by the person depicted. You are solely responsible for how you use AI outputs.

The Service, including its software, design, and content (excluding your uploaded content), is owned by Reconnect or its licensors and is protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to use the Service in accordance with these Terms.

The Service integrates third-party providers (including Clerk, AWS, ElevenLabs, OpenAI, and Vapi). Your use of the Service may also be subject to their terms, and we are not responsible for third-party services we do not control.

Some features may be offered free of charge, and we may introduce paid features or subscriptions in the future. If you purchase a paid feature, we will disclose the price and terms before you are charged. Fees are non-refundable except as required by law or as expressly stated at the time of purchase.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if your use could cause harm or legal liability to Reconnect or others. Sections that by their nature should survive termination will survive.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Reconnect and its providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, goodwill, or profits, arising from or related to your use of the Service. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

You agree to indemnify and hold harmless Reconnect and its officers, employees, and providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or the rights of any third party - including claims that you lacked the rights or consent to upload a person's voice.

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located in Wilmington, Delaware, unless an arbitration or other dispute-resolution provision is added here and agreed by the parties. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

We may update these Terms from time to time. For material changes, we will provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
